ARTICLE I - the Organization

1.0 NAME

The name of the Club shall be Volkswagen Club Of Pakistan, based in
Islamabad. Pakistan.

2.0 PURPOSE

The Volkswagen Cub Of Pakistan's purpose is the education of owners and other interested parties in the preservation, restoration, and customizing of Volkswagen automobiles. This includes any vehicle manufactured by Volkswagen, such as the Beetle, Bus, Karmann Ghia, Type Three, as well as VW powered kit cars.

3.0 STRUCTURE

The Club shall be a non-share-holding, non-commercial, non-profit,
non-partisan and non-bargaining entity. The Club is not formed for monetary gain or profit and does not contemplate monetary gain or profit to members or officers thereof, and no part of the net earnings of the Club shall inure to the benefit of any member or officer thereof, or any private individual or business.

4.0 LOGO

The Club Logo shall be of any satisfactory design, which may be changed from time to time, but shall always contain the inscription Volkswagen Club Of Pakistan in one form or another. Change will be approved by vote of the
Leadership.

5.0 CONTACT METHODS

ARTICLE II - MEMBERSHIP

1.0 MEMBERSHIP RESTRICTIONS / REQUIREMENTS

Membership in the Club is not restricted to owners of Volkswagen vehicles. Applicants must only show an interest in Volkswagen, the company, it's history or the products of Volkswagen..

2.0 MEMBERSHIP DEFINITION

A membership of the VWCOP can include but is not limited to all family members living in one household (i,e., Husband, wife, children). Basic Rule of Thumb: if more than one Newsletter is required, additional memberships and therefore fees should apply. There may be multiple memberships per household if the requesting member so desires. (See Article V 2.0 Voting for additional information).

2.1. MEMBER IN GOOD STANDING

To maintain membership in good standing a member must be current with the payment of dues, continue to meet the requirements of sec. 1.0 of this article and not be on probation (see Article IV 2.0).

3.0 DUES

Memberships in the VWCOP is Rs.200 per year, due on each join anniversary date. Membership fees may be increased at any time by a majority vote of the leadership. Leadership shall give current and potential members ninety (90) days notice of membership fee increase.

4.0 RESIGNATION OF MEMBERSHIP

Any member may resign by submitting a letter of resignation to the
Secretary. His resignation is effective upon receipt. Resignations from the Club will not relieve the member from any indebtedness to the Club. He will forfeit any dues paid for the current year.

ARTICLE III - MEETINGS

1.0 MONTHLY MEMBERSHIP (BUSINESS and CRUISE) MEETINGS

Regular monthly meetings will be held on the First Monday of each month at 7:30 p.m. In the event of a conflict between the regular monthly meeting and any other event or activity, the date and/or location of the regular monthly meeting may be changed by a majority of the Club Leadership.

2.0 LEADERSHIP MEETINGS

Leadership meetings are scheduled on a quarterly basis at a date, time, and location to be determined by the Leadership. Leadership meetings are open to all members.

3.0 SPECIAL MEETINGS

In addition to any provisions of these By-Laws, special meetings of the members of the Club may be called by the President or by a majority of the Leadership.


ARTICLE IV - REGULATIONS, DISCIPLINARY ACTIONS AND CHANGES

1.0 PROCEDURES

All meetings and procedures will be conducted in a business like manner with minutes of the meetings maintained.

2.0 PROBATION

Any member may be put on probation by the Leadership for infractions of the Club rules detrimental to the Club, or by any actions determined as " not in the best interests of the Club". However, before such action is taken, the member will be notified and have the opportunity to submit (with in 30 days) in writing or in person to the Leadership his position on any charge of which he is notified. In the event a member is put on probation, written notice will be submitted to the offending member advising him of his offense and his probation. The probation term is sixty (60) days. After the sixty (60) days the Leadership will review all information and vote on membership reinstatement, an additional probation term or expulsion procedures. All action concerning probation will be determined by a majority vote of the Leadership.

3.0 EXPULSION

Any member may be expelled for infraction of the Club rules or other causes as determined to be "not in the best interests of the Club" by the majority of the Leadership of the Club. Any member expelled will forfeit dues paid for the current year, all voting privileges, and any benefits of membership (i.e., discounts from sponsors). However, before such action is taken, the member will be notified and have the opportunity to submit (within 15 days) in writing or in person to the Leadership his position on any charge of which he is notified.

Restatement of membership will be determined by a majority vote of the Club Leadership.

4.0 BY-LAW CHANGES

Any By-Law amendment must be presented to the Leadership first and then published in a public forum prior to being presented to the general membership for a vote.

  ARTICLE V - CLUB LEADERSHIP

1.0 QUALIFICATIONS FOR LEADERSHIP

Must be a member in good standing.

2.0 VOTING

All Members will have the privilege to cast a separate single vote per
membership (see definition of "membership" in Article II paragraph 2.0) on any question or motion brought to the membership. Voting will be by either voice, roll call, secret ballot or any type at the discretion of the presiding officer except the elections of officers With the exception of amendments to the By-Laws, all votes will be governed by a majority vote of the members present. All actions regarding amendments to the By-Laws will be governed by a two-thirds (2/3) vote of the membership present at the meeting. Absentee voting will be in accordance with the rules they prescribe and with notice to all members.

3.0 NOMINATIONS FOR LEADERSHIP MEMBERS

Nominations for all Leadership positions will be submitted at the October monthly membership meeting. The membership will be notified at least one month prior. The Leadership will canvas the nominees for their agreement and will proceed accordingly.

4.0 ELECTIONS OF LEADERSHIP MEMBERS

The Secretary will present a ballot of qualified candidates to the
Leadership for a majority vote of 2/3 of the Leadership.

5.0 RESIGNATION OF LEADERSHIP MEMBERS

In the event any officer, except the President, should resign or become unable to perform the functions of that office the vacancy will be filled by taking nominations from the floor at the first membership meeting after the date of the resignation. A ballot of qualified nominees will be presented to the Leadership by the secretary at a special meeting past the date of the resignation and a vote will be taken. In the case of the President's resignation or leave, the Vice President shall add the duties of the President to the duties of Vice President untill the election where a new President is chosen.


ARTICLE VI - LEADERSHIP POSITIONS

All positions are encouraged to enlist club members outside of VWCOP Leadership to assist in the completion of their duties.

1.0 DUTIES OF THE PRESIDENT

Planning, promotion, and implementation of monthly business meetings and leadership meetings. Represents club in all public functions or appoints another representative in his stead. Available for meetings with sponsors and potential sponsors as identified by Sponsor Representatives for promotion of club sponsorship and act as tie-breaking vote in club matters.

2.0 DUTIES OF THE VICE-PRESIDENT / EVENT COORDINATOR

President in training. Assists President in all duties. Acts as primary
Presidential Representative in absence of President. Oversees planning, preparation, and implementation of club shows and events.

3.0 DUTIES OF TREASURER/CLUB STORE MANAGER

Maintains records of accounts payable and accounts receivable, prepares monthly financial reports. Files tax paperwork (when necessary). Maintains inventory of club store.

4.0 DUTIES OF CRUISE DIRECTOR

Planning, promotion, and implementation of club cruise events. Assists VP/EC for cruises to our shows.

5.0 DUTIES OF NEWSLETTER EDITOR

Prepare periodical newsletter and all other printed literature for distribution to club members and general public by overseeing gathering of content, production of materials, printing, bindery, and mailing/distribution of these items.

6.0 DUTIES OF WEBMASTER

Oversees web presence of the organization. Co-ordinates with web host to maintain technical issues. Oversees update of webpage and maintenance of email lists.

7.0 DUTIES OF RECORDS – SECRETARY

Take minutes of meetings. Upkeep of membership database. Upkeep of photographic database (photography and release forms). Co-ordination of photographers/photography at events. Keep records of historical facts regarding the club. Keeps and distributes Club Buttons and Membership cards. Stores all hard copies of membership applications.

8.0 DUTIES OF SPONSOR REPRESENTATIVE(S)

Planning, promotion and implementation of sponsorship program for club. Communicate with current sponsors. Identifies potential club sponsors. Solicits new sponsors. Oversees distribution of club literature to sponsors. Facilitates meetings between sponsors and appropriate club officers. Communications would include finding needs of sponsors that the club could help promote and/or fill.

9.0 DUTIES OF PUBLIC AFFAIR CO-ORDINATOR

Prepare materials for upcoming events and promotions and present materials to appropriate news agencies in order to publicize the club and/or its events. Also responsible for inter-club relations and promotions.

10.0 DUTIES OF BOARD MEMBERS -- pending Not-For-Profit requirements.

The Board Members will function in an advisory capacity to assist the
Leadership in performing their duties. Board Members' past experience as Leadership of the Club will be drawn upon to provide direction to the Club.


ARTICLE VII - FINANCIAL

1.0 FISCAL YEAR

The Fiscal Year of the Club, for all accounting and membership purposes, shall be from January 1 through December 31.

2.0 Accounting

Accounting of club funds and inventory will be performed by the Club
Treasurer. The Treasurer will establish the method of accounting dependant on the capabilities of the Treasurer.

Treasury reports will be published in the newsletter as compiled by the
Treasurer.


ARTICLE VIII - LIABILITIES

1.0 PERSONAL LIABILITY

All persons or corporations extending credit to, contracting with, or having claim against the Club or the officers will look only to the funds and property of the Club for payment of any such contractor claim or for payment of any debt, damage, judgment or decree of any other money that may otherwise become due or payable to them from the Club or the officers; so that neither the members of the Club nor the officers, present or future, will be liable personally thereof.
